Agreement to these terms
These Terms of Service govern access to and use of VroxDataRoom, including websites, applications, APIs, and related services.
By creating an account, purchasing a plan, inviting viewers, uploading files, or otherwise using the service, you agree to these terms on behalf of yourself or the organization you represent.
Accounts and administrators
You are responsible for maintaining accurate account information, protecting login credentials, and all activity that occurs under your account.
Administrators control rooms, users, viewers, groups, permissions, uploads, and billing choices. You are responsible for confirming that administrator actions comply with your organization policies and applicable law.
Customer content
You retain ownership of documents, data, and other content you upload to VroxDataRoom. You grant us the rights needed to host, process, transmit, display, secure, and otherwise provide the service.
You represent that you have the rights and permissions necessary to upload, share, and process customer content through the service.
Acceptable use
You may not use the service to violate laws, infringe rights, distribute malware, attempt unauthorized access, interfere with service operations, or upload content that is unlawful or harmful.
We may suspend or restrict access if we reasonably believe use of the service creates security, legal, operational, or reputational risk.
Plans, billing, and renewals
Paid plans, add-ons, renewal windows, taxes, fees, and payment terms are presented during checkout or in the applicable order flow.
Unless stated otherwise, fees are non-refundable except where required by law or expressly agreed in writing.
Service availability and changes
We work to keep VroxDataRoom reliable and secure, but the service may be interrupted by maintenance, upgrades, outages, third-party issues, or events outside our control.
We may modify features, plans, interfaces, and policies as the product evolves. Material changes will be communicated where required.
Confidentiality and security
Each party will protect confidential information using reasonable care. Customers are responsible for configuring access controls and ensuring invited users are authorized.
No system can be guaranteed completely secure. You should notify us promptly if you suspect unauthorized access or misuse.
Limitation of liability
To the fullest extent permitted by law, VroxDataRoom will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.
Our total liability for claims related to the service will be limited to the amounts paid for the service during the period permitted by applicable law or the applicable order terms.
Termination
You may stop using the service at any time. We may suspend or terminate access for non-payment, security risk, legal requirements, breach of these terms, or misuse of the platform.
After termination, access to customer content may be limited or removed according to product retention settings, legal obligations, and operational requirements.
