Use security tools including watermarking, geo-fencing, fence view, and audit logs.

2.2Users may create and manage data rooms for purposes including:

Mergers & Acquisitions;

Fundraising;

Investor Relations;

Legal Documentation;

Financial Audits;

Real Estate Transactions;

Corporate Governance;

Startup Documentation;

Healthcare and Compliance.

2.3The Website/Application acts solely as a technology platform facilitating secure document management and collaboration. We do not verify, monitor, endorse, or guarantee the legality, accuracy, authenticity, ownership, or appropriateness of content uploaded by Users.

2.4Users access data rooms entirely at their own discretion and risk. Users should only access data rooms from trusted owners or organizations.

2.5Data room administrators may invite third parties using automated email, SMS, or notification systems integrated into the platform. Such invitations are generated on behalf of the data room owner and should not be interpreted as direct communication from VroxDataRoom.

3.Eligibility

3.1You must be at least 18 years old or the legal age of majority in Your jurisdiction to use the Website/Application.

3.2By using the services, You represent and warrant that:

You are legally competent to enter into binding agreements;

You have authority to represent any organization or company You act on behalf of;

All information provided by You is accurate and complete.

3.3We reserve the right to suspend or delete accounts found to be operated by minors, unauthorized persons, or entities violating applicable laws.

4.Registration and Account Security

4.1Users may be required to provide:

6.2By uploading content, Users grant VroxDataRoom a limited, non-exclusive, worldwide license to host, process, store, encrypt, transmit, display, and manage such content solely for providing the services.

6.3Data room owners are responsible for determining:

Access permissions;

Security configurations;

Download restrictions;

User visibility;

Retention settings.

6.4VroxDataRoom may provide advanced security features including:

Dynamic Watermarking;

Fence View;

Geo-fencing;

IP Restrictions;

Access Expiry;

Download Controls;

Audit Trails;

Session Tracking.

6.5We do not guarantee permanent storage of uploaded data. Users are responsible for maintaining independent backups of their files and documents.

7.Fees and Payments

7.1Certain services or features may require payment, subscription plans, storage upgrades, or enterprise licensing.

7.2We reserve the right to:

Modify pricing;

Introduce new charges;

Change subscription models;

Discontinue free services.

7.3Users agree to pay all applicable fees, taxes, and charges associated with the selected services.

10.Intellectual Property Rights

10.1All Website/Application software, branding, designs, interfaces, graphics, source code, logos, and platform technology are owned by VroxDataRoom or its licensors and protected by intellectual property laws.

10.2Users shall not:

Copy platform code;

Reverse engineer systems;

Reproduce branding;

Create derivative works;

Use trademarks without permission.

10.3Users remain solely responsible for ensuring uploaded content does not infringe third-party rights.

11.Third-Party Services

11.1The Website/Application may integrate with third-party services including:

Cloud providers;

Authentication providers;

Payment gateways;

Analytics platforms;

Communication tools.

11.2We are not responsible for the content, availability, policies, or practices of third-party platforms.

11.3Use of third-party services is subject to their respective terms and policies.

12.Suspension and Termination

13.Disclaimer of Warranties

DATA LOSS WILL NEVER OCCUR;

SECURITY BREACHES WILL NEVER HAPPEN.

13.3USERS ACCESS AND USE THE SERVICES ENTIRELY AT THEIR OWN RISK.

14.Limitation of Liability

14.1TO THE MAXIMUM EXTENT PERMITTED BY LAW, VROXDATAROOM SHALL NOT BE LIABLE FOR:

INDIRECT DAMAGES;

CONSEQUENTIAL DAMAGES;

LOSS OF PROFITS;

LOSS OF DATA;

BUSINESS INTERRUPTION;

REPUTATIONAL DAMAGE;

SECURITY BREACHES CAUSED BY THIRD PARTIES.

14.2OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY THE USER TO VROXDATAROOM DURING THE PRECEDING THREE (3) MONTHS.

14.3Users acknowledge that the allocation of risk under these Terms forms an essential basis of the agreement between the Parties.

15.Indemnification

Users agree to indemnify, defend, and hold harmless VroxDataRoom, its employees, affiliates, directors, officers, contractors, licensors, and partners from any claims, liabilities, damages, losses, costs, or expenses arising from:

Violation of these Terms;

Uploaded content;

Intellectual property infringement;

Misuse of the services;

Breach of law or regulation.

16.Refund Policy

16.1Except where required by law, subscription fees and service charges are non-refundable.

16.2Refund requests, if considered, shall be handled solely at the discretion of VroxDataRoom management.

17.Governing Law and Jurisdiction

17.1These Terms shall be governed by and interpreted in accordance with the laws of India.

17.2Any disputes arising out of or relating to these Terms shall be subject to arbitration and the exclusive jurisdiction of competent courts in India.

17.3Arbitration proceedings shall be conducted in English.

18.Miscellaneous

18.1Failure to enforce any provision shall not constitute waiver of rights.

18.2If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force.

18.3These Terms constitute the complete agreement between Users and VroxDataRoom regarding use of the services.

18.4Users may not transfer or assign their rights without prior written consent from VroxDataRoom.
